PRIVATE PLACEMENT MEMORANDUMS
Our PPM templates are cover to cover memorandums (50+ pages). After you complete the documents they are ready to deliver to investors. They contain current state legends and disclaimers, capitalization tables, dilution tables, automated table of contents, investor questionnaire, subscription agreement, promissory note (for debt offerings), Unit agreement (for LLC's), exhibits and more. They are downloaded in MS Word format immediately following your purchase. All filing documents are also included in the downloaded package (Form D).
This product is not software, it is an actual MS Word document  . Our templates are designed for use in all 50 states.
What is included in the PPM Template?
Each template package contains all the vital information needed to complete and file your offering. Each download includes a Form D and all other Blue Sky filing forms. Your template is available via download immediately following approval of your purchase, which in most cases is immediate. If needed your template can also be delivered via email.
How do I receive my template?
After your purchase you will receive an email receipt with a link to download your template. You simply click the link, or visit your store account login to download your template. Your template will be included in a .zip file which also includes 1-SEC Form D. Your template is available immediately following verification and approval of your purchase.
How do I choose the right template?
To figure out which template you need, simply determine how you would like to pay back investors. If you plan to take the capital as a loan you will need to choose a debt offering. If you plan to take investors capital as a profit sharing venture you will need to choose an equity offering. If you plan to raise up to $1 million you will need to choose a Rule 504, up to $5 million choose Rule 505, and over $5 million choose Rule 506.
